Celgene Corporation

Celgene is a multinational integrated biopharmaceutical company, incorporated in 1986 as a Delaware corporation and is based in Summit, New Jersey. We are primarily engaged in the discovery, development and commercialization of innovative therapies designed to treat cancer and immunological diseases through regulation of genomic and proteomic targets.

On August 31, 2000, we acquired Signal Pharmaceuticals, Inc., a privately held San Diego-based biopharmaceuticals company focused on the discovery and development of drugs that regulate genes associated with diseases, which is presently a wholly owned subsidiary. On December 31, 2002, we acquired Anthrogenesis Corporation, a privately held New Jersey based biotherapeutics company and cord blood banking business, which has also pioneered the recovery of stem cells from human placental tissue following the completion of a full-term, successful pregnancy. Anthrogenesis now operates as Celgene Cellular Therapeutics (“CCT”), a wholly owned subsidiary.

Outside of the United States, Celgene’s International HQ is based in Neuchatel and the company operates throughout Europe and Asia Pacific.

The Company, together with these diverse subsidiaries, has built a commercialization, development, and discovery platform for drug and cell-based therapies that allows us to both create and retain significant value within our therapeutic franchise areas of cancer and inflammatory diseases.
